Class B Associate Terms & Disclosure

Class B Associates are independent entrepreneurs, artisans, home-based businesses, and incubated micro-enterprises participating in the Blackstrap 2 Bootstraps marketplace, with operational autonomy over their storefronts, sub-brands, and intellectual property.

SECTION 1

Your Store & Intellectual Property

Class B Associates retain ownership and control of their individual marketplace storefronts, sub-brands, pricing, and proprietary intellectual property — including recipes, designs, artwork, and product formulations.

Joining the cooperative does not assign your brand or your creative work to CFW & Associates LLC. You remain an independent, decoupled artisan operating under the umbrella.

SECTION 2

Class B Revenue Requirement

$35,000 GROSS ANNUAL STATUTORY CEILING

Class B membership is intended for micro-enterprises, home-based artisans, and community producers earning under $35,000 in gross annual revenue. Class B revenues are reviewed annually. If an Associate exceeds the threshold through or accelerated by the platform, the Associate transitions to an independent commercial vendor agreement or executes an amended subscription structure defined by the Class A Members.

SECTION 3

20% Infrastructure Service Fee

Transactions processed through the marketplace are subject to the 20% infrastructure service fee described in the Operating Agreement. The fee is split into two equal halves:

Community Wealth Pool

Held in a segregated ledger and used for the Community Wealth Pool and related eligible support programs — debt-free stabilization, technical education, and growth of incubated Class B micro-enterprises. These funds are restricted from distribution to Class A members.

SECTION 4

Independent Business Responsibility

You operate as an independent contractor and decoupled artisan. Associates remain solely responsible for liabilities arising from their own storefront operations, and agree to indemnify and hold harmless CFW & Associates LLC from claims arising from those operations:

Product liability

Claims arising from goods you produce and sell.

Customer disputes

Disputes originating from your specific storefront.

Local compliance

Localized licensing, permitting, and compliance failures.

Debts & obligations

Debts and obligations incurred through your storefront or sub-brand.

SECTION 5

Associate Acceptance

By checking "I Accept" and entering your legal name during onboarding, you certify that your current gross revenues are under $35,000 per annum and agree to abide by the dual-class operating terms of this ecosystem. Acceptance records your legal name, storefront or sub-brand name, and the date.
