Founding Members / Class A

Class A Managing Lineage Members carry the structural, legal, and fiduciary weight of the master entity so that Class B Associates can operate independently.

SECTION 1

Who are the Founding Members?

Class A Managing Lineage Members are the founding generational family lineages identified in Schedule A of the Operating Agreement.

Article III restricts Class A membership to those founding generational family lineages listed in Schedule A. Class A membership is not open to application.

SECTION 2

Their Role

Master legal structure

Stewardship of the Delaware master entity and its sub-ledgers.

Compliance oversight

Ongoing compliance across the multi-state footprint.

Regulatory oversight

Management of the Company's regulatory shield.

Asset protection

Protection of common-pool and corporate assets.

Capital reserve allocations

Allocation and stewardship of capital reserves.

Major structural decisions

Decisions affecting the structure of the Company itself.

SECTION 3

Governance

Class A Members hold exclusive voting authority over master infrastructure decisions. These actions require a majority vote based on Class A capital percentages:

Amendments to the Operating Agreement
Structural changes to the Company
Equity dilution
Long-term debt
Dissolution
Master platform compliance
SECTION 4

Cooperative Participation

ONE MEMBER, ONE VOTE

Cooperative operational matters — day-to-day collective operations, common-pool industrial asset scheduling, communal resource rules, and marketplace community initiatives — are governed democratically. For these matters every Member, Class A and Class B alike, has exactly one vote regardless of financial capital contribution.

In short: Class A governs the structure, and the whole cooperative governs the day-to-day.

Schedule A — Member Registry

PENDING FINALIZATION

Schedule A of the Operating Agreement is the member registry listing Class A Members, their capital contributions, and initial signatures. The registry has not yet been published. Once the finalized Schedule A is approved, the founding member listing will appear here.
