Fiscal Sponsorship
CFW & Associates uses a Model C fiscal sponsorship framework for the Blackstrap 2 Bootstraps project, subject to the finalized agreement with the designated 501(c)(3) nonprofit partner.
SECTION 1
What is the Fiscal Sponsorship?
Article V of the Operating Agreement authorizes a Master Fiscal Sponsorship and Service Agreement with one or more registered 501(c)(3) nonprofit partners under an IRS-compliant Model C framework. Under that framework:
CFW operates the marketplace infrastructure.
The 501(c)(3) Sponsor holds the applicable charitable / project funds.
Funds are restricted to approved charitable purposes.
The Sponsor retains ultimate discretion and control.
SECTION 2
Blackstrap 2 Bootstraps Project Fund
The Master Fiscal Sponsorship Agreement establishes a segregated project fund for amounts transferred from the Community Wealth Pool. Capital is swept from the pool on a recurring monthly basis and delivered to the Sponsor with an automated, anonymized transaction ledger demonstrating compliance with the $35,000 revenue cap set for Class B beneficiaries.

Sponsor Responsibilities
CFW & Associates LLC
Operates the marketplace infrastructure and sweeps the 10% Community Wealth Pool allocation monthly, with anonymized transaction ledgers and quarterly programmatic updates.
501(c)(3) Sponsor
Holds the applicable charitable and project funds, retains ultimate variance power, discretion, and control, and pays third-party vendors on behalf of validated Class B members.
Under no circumstances shall any asset, cash allocation, or financial benefit from the fund be distributed to, or used to enrich, a Class A Managing Lineage Member.
